The Registration of the Establishment of Subsidiary Companies
A foreign enterprise that applies for the setting up of a branch company (or a representative office) shall submit the following documents and certificates:
1. The application of the registration of the establishment of the branch company (or the representative office) signed by the board chairman of the enterprise.
2. The Notice of Examination and Approval issued by the original registration authority concerning the approval of the establishment of the branch company (or the representative office).
3. The photo-printed copy of the Certificate of Business of the enterprise planing to set up the branch company (or the representative office) that bears the fresh print of the seal of the enterprise.
4. The resolution of the board of directors, and the contract and articles of association of the original company.
5. The Certificate of Appointment of the responsible person of the branch company (or the representative office) and the photo-printed copy of his or her ID card.
6. The certificate of fund allocation issued by the accounting department of the enterprise planing to set up the branch company. (This is not applicable to the establishment of a representative office).
7. The certificate of the leasing of the site of the branch company or the representative office (the term of the leasing of the office¡¯s site shall be more than one year).
8. The report on capital verification of the enterprise.
9. The registration form of the responsible person of the branch company or the representative office (with a fresh print of the seal of the enterprise¡¯s department of personnel).
10. The Power of Attorney of the Registration.
11. Other relevant documents and certificates.
The Registration of Cancellation of the Branch Company or the Representative Office
A branch company (or a representative office) of a foreign enterprise, when registering the cancellation of itself, shall submit the following documents and certificates:
1. The application of the registration of the cancellation of the branch company (or the representative office) signed by the board chairman of the enterprise.
2. The resolution of the board of directors.
3. The certificates issued by the tax authority that prove that the branch company or the representative office has paid all taxes.
4. The Certificate of Business or the Certificate of Registration of the branch company or the representative office.
5. The seal and the steel seal of the branch company of the representative office.
6. The Power of Attorney of the Registration.
The Registration of the Modification of the Branch Company or the Representative Office
A branch company or the representative office of a foreign enterprise, when modifying the registration of it shall submit the following documents and certificates:
When applying for modifying the registration, a branch company or the representative office shall submit the application of the modification of the registration signed by the chairman of the board of directors of the enterprise, the Power of Attorney of the Registration, the Certificate of Business (or the Certificate of Registration), the application signed by the responsible person of the branch company or the representative office. It shall also submit the following documents and certificates depending on changes of different registered items:
1. Modifying the registration of the name of the branch company: the certificate issued by the local industrial and commercial department where the enterprise is located, and the photo-printed copy of the Certificate of Business of the enterprise (with a fresh print of the seal of the local registration authority).
2. Modifying the registration of the address: the certificate of the use or the certificate of the real estate of the new office (or the new business site).
3. Modifying the registration of the responsible person: the resolution of the board of direction of the enterprise or the certificate of appointment, the registration form of the responsible person of the branch company or the representative office (with a fresh print of the seal of the enterprise¡¯s department of personnel).
4. Modifying the registration of the scope of business and the category of the enterprise: photo-printed copy of the Certificate of Business of the enterprise (with a fresh print of the seal of the local registration authority).
